These terms and conditions of use (the “Legal Notice”) constitute an agreement between Especialidades de Grafito, S.A. de C.V. (“ESGRAF”, “we”, or the “Company”), with registered address at Triángulos 140, Arco Vial, García, Nuevo León, ZIP 66023, Mexico, website https://esgraf.com (the “Site”), contact email [email protected], and any person who accesses or uses the Site (the “User”).

Accessing, browsing, or using the Site implies full and unconditional acceptance of this Legal Notice. If the User disagrees in whole or in part, the User must refrain from using the Site.

1. Purpose

ESGRAF makes the Site available for informational and commercial purposes regarding products, services, applications, and industries related to graphite, carbon, and related materials. The Site allows Users, among other things, to browse catalogs, request quotations, and contact the commercial or technical team.

Use of the Site does not grant the User any ownership rights over the Site, its elements, or its content. ESGRAF may modify the Site’s presentation, configuration, information, or features at any time.

2. Access and use

Access to the Site is free of charge. Registration is not required to browse; however, to use contact forms, quotation requests, or other services, the User must provide accurate and up-to-date information.

The User agrees to:

Use the Site in accordance with applicable Mexican law, public order, and this Legal Notice.
Not damage, disable, overload, or impair the Site, or interfere with its normal use by others.
Not attempt unauthorized access to systems, accounts, databases, or networks related to the Site.
Not introduce viruses, malicious code, or engage in activities that compromise Site security.
Not impersonate ESGRAF, its personnel, or any third party.
Not collect other users’ personal data for unlawful or unauthorized purposes.

3. Informational nature of content

Product descriptions, grades, technical specifications, equivalences, images, and other Site content are illustrative and informational. Definitive supply characteristics are determined in quotations, purchase orders, contracts, or other commercial documents between ESGRAF and the customer.

ESGRAF recommends confirming applicable specifications with technical sales before any order or engineering decision.

4. Quotation requests and forms

Submitting contact forms or quotation requests through the Site does not by itself create a sales contract, accepted order, or supply commitment. ESGRAF may accept, reject, or condition any request according to its commercial policies and material availability.

Commercial relationships are governed by the specific written terms agreed between the parties (quotation, order, contract, or accepted purchase order).

5. Intellectual and industrial property

All Site content—including text, images, logos, trademarks, designs, code, databases, catalogs, and downloadable materials—is owned by ESGRAF or used with authorization from the rights holders, and is protected by Mexico’s Federal Copyright Law, the Federal Law for the Protection of Industrial Property, and other applicable Mexican and international rules.

Reproduction, distribution, modification, public communication, or any other use of such content without ESGRAF’s prior written authorization is prohibited, except printing or copying for the User’s personal informational use, without commercial exploitation.

By providing comments, suggestions, or feedback about the Site, the User authorizes ESGRAF to use them without restriction or compensation, without recognition of moral or economic rights in favor of the User.

6. Third-party links

The Site may include links to third-party sites or resources. ESGRAF does not control and is not responsible for those sites’ content, policies, or practices. Access to external links is at the User’s sole risk.

7. Availability and technology

ESGRAF endeavors to keep the Site operational and secure; however, it does not guarantee uninterrupted availability, freedom from errors, or compatibility with all devices or browsers.

ESGRAF is not liable for network failures, acts of God, force majeure, transmission errors, internet service interruptions, or damage to the User’s equipment or software arising from Site access, except where applicable law imposes non-waivable liability.

8. Disclaimer of warranties and limitation of liability

The Site and its content are provided “as is” and “as available.” To the extent permitted by Mexican law, ESGRAF disclaims implied warranties of merchantability, fitness for a particular purpose, or non-infringement regarding content published on the Site.

In no event shall ESGRAF, its affiliates, officers, employees, or providers be liable for indirect, incidental, special, punitive damages, lost profits, business interruption, or data loss arising from use or inability to use the Site, except for willful misconduct or gross negligence as required by applicable law.

9. Personal data and cookies

Processing of personal data collected through the Site is governed by ESGRAF’s Privacy Policy, in accordance with Mexico’s Federal Law on the Protection of Personal Data Held by Private Parties and other applicable rules.

Use of cookies and similar technologies is described in the Cookie Notice.

10. Minors

The Site is intended for persons with legal capacity under Mexican law. If a minor provides personal data, a parent or guardian should contact ESGRAF to request cancellation.

11. Suspension or withdrawal of access

ESGRAF may deny, suspend, or withdraw access to the Site, in whole or in part, when the User breaches this Legal Notice, uses the Site unlawfully, or endangers the security, integrity, or reputation of ESGRAF or third parties, without liability to ESGRAF for such measure.

12. Indemnification

The User agrees to indemnify and hold harmless ESGRAF, its officers, employees, agents, and providers from claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from misuse of the Site or breach of this Legal Notice.

13. Amendments

ESGRAF may update this Legal Notice at any time. The current version will be published on the Site with the last-updated date. Continued use of the Site after publication of changes constitutes acceptance of the updated version.

14. Severability

If any provision of this Legal Notice is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Governing law and jurisdiction

This Legal Notice is governed by the federal laws of the United Mexican States. For interpretation and enforcement, the User and ESGRAF submit to the competent courts of Monterrey, Nuevo León, Mexico, waiving any other jurisdiction that may correspond by reason of present or future domicile.

16. Acceptance

Pursuant to Articles 1803 and 1834 Bis of the Federal Civil Code, Articles 80, 81, and 89 of the Commercial Code, and other applicable provisions, the User acknowledges that access to and use of the Site constitute express acceptance of this Legal Notice as published at the time of access.
